Corporate and Securities Paralegal

Our client is seeking a Corporate/Securities Paralegal with 3 to 6 years of experience. The ideal candidate will support attorneys in corporate transactions, including IPOs, mergers and acquisitions, stock option plans, and venture capital financings. The role involves working with a diverse range of clients, from tech startups to public companies, and includes tasks such as managing corporate records, conducting due diligence, handling venture capital financing, and performing blue sky research.

Candidates should have a BA/BS degree or equivalent experience, with demonstrated skills in project management, communication, and organization. Experience with IPOs, corporate governance documents, and cap table management software like Carta or Shareworks is essential. Proficiency in MS Office and flexibility to work overtime as needed are also required.

The position offers a California pay range of $110,000 to $130,000, based on experience. Qualified candidates with arrest and conviction records will be considered under the California Fair Chance Act. The role requires a solid understanding of capitalization fundamentals, securities law, and the ability to manage confidential information appropriately. ECA designation or CEP certification is a plus.
